Look at where the company actually operates
If staff, premises or substantial activity are in one state, forming elsewhere may add responsibilities rather than remove them. Registration to operate in an additional state and further charges may be required. Compare upfront and recurring costs, governance needs and investment plans. State selection should reflect the whole picture, not just the cheapest filing fee.
Registered agent, mail and bank address are different
A registered agent receives legal notices under state rules. Mail service handles correspondence, while a bank separately assesses addresses and the business’s actual presence. One address may not serve every purpose. Before contracting, clarify its intended use, service term, mail handling and the bank’s requirements. A virtual address does not become a physical business office by itself.
Discuss year two on day one
The core package includes a legal address, with its service conditions documented. Understand future renewals, state charges, reporting and potential address-change costs. A clear list of responsibilities is more useful than a promise of a permanently maintenance-free company. Can I choose a state solely for low taxes?

Does an address on the website count as a US office?
No. An address alone does not prove an office, staff or actual operations. Company documents and descriptions should accurately state what the address is used for.
